1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Client") and AnyVision Media ("we", "our", or "us"), an AI consulting company registered and operating in Johannesburg, Gauteng, South Africa.

By accessing our website at www.anyvisionmedia.com (the "Website") or engaging our consulting services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website or our services.

These Terms are governed by the laws of the Republic of South Africa, including the Consumer Protection Act (CPA) and the Electronic Communications and Transactions Act (ECTA).

2. Our Services

AnyVision Media provides artificial intelligence consulting and development services, including but not limited to:

• AI Strategy Consulting — roadmaps, readiness assessments, and technology audits
• Custom AI Solutions — bespoke machine learning models, chatbots, and automation pipelines
• AI Integration — connecting AI systems to existing CRMs, ERPs, and workflows
• Computer Vision — object detection, image and video analysis solutions
• NLP & LLM Solutions — custom GPT applications, document processing, and semantic search
• AI Training & Workshops — prompt engineering, model fine-tuning, and responsible AI training

The specific scope, deliverables, timelines, and fees for consulting engagements are defined in individual project proposals or statements of work ("SOW") agreed upon between you and AnyVision Media.

3. Use of Website

3.1 Permitted Use

You may use our Website for lawful purposes only. You are granted a limited, non-exclusive, non-transferable licence to access and use the Website for the purpose of learning about our services, contacting us, and booking consultations.

3.2 Prohibited Conduct

You agree not to:

• Use the Website in any way that violates applicable South African or international laws or regulations
• Attempt to gain unauthorised access to any part of the Website, server, or systems connected to the Website
• Use automated tools (bots, scrapers, crawlers) to collect data from the Website without our written consent
• Transmit any malicious code, viruses, or harmful data through the Website
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with the proper functioning of the Website or impose an unreasonable load on our infrastructure
• Use the Website to send unsolicited commercial communications (spam)

3.3 Contact Form & Communications

When submitting enquiries through our contact form, you agree to provide accurate and truthful information. We reserve the right to decline any enquiry at our discretion. Submission of a contact form does not create a binding agreement for services.

4. Intellectual Property

4.1 Our Intellectual Property

All content on the Website — including text, graphics, logos, the AnyVision eye logo, icons, images, design elements, code, and software — is the property of AnyVision Media or its licensors and is protected by South African and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Website content without our prior written consent.

4.2 Client Project IP

Intellectual property rights for custom AI solutions developed during client engagements are governed by the specific terms outlined in each project's SOW. Unless otherwise agreed in writing:

• Client data: Remains the sole property of the Client at all times
• Custom deliverables: Ownership transfers to the Client upon full payment of all associated fees
• Pre-existing IP: Any tools, frameworks, libraries, or methodologies that AnyVision Media owned prior to the engagement remain our property. The Client receives a non-exclusive licence to use such pre-existing IP as part of the delivered solution
• General knowledge: AnyVision Media retains the right to use general knowledge, skills, and experience gained during any engagement

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a consulting engagement. Confidential information includes, but is not limited to:

• Business strategies, plans, and financial information
• Technical specifications, algorithms, and source code
• Client data, customer lists, and business processes
• Project proposals, SOWs, and pricing details

Confidentiality obligations survive the termination of any engagement for a period of two (2) years, unless otherwise specified in a separate non-disclosure agreement (NDA).

Confidentiality obligations do not apply to information that is publicly available, independently developed, rightfully received from a third party without restriction, or required to be disclosed by law.

6. Payment Terms

6.1 Fees

All fees for consulting services are quoted in South African Rand (ZAR) unless otherwise specified in the SOW. Fees are exclusive of VAT unless explicitly stated otherwise.

6.2 Payment Schedule

Payment terms are defined in each project's SOW. Unless otherwise agreed:

• A deposit of 50% of the total project fee is due before work commences
• The remaining balance is due upon delivery of the agreed-upon deliverables
• For ongoing retainer engagements, invoices are issued monthly and payable within 14 days

6.3 Late Payment

Late payments may incur interest at the rate of 2% per month on the outstanding amount. AnyVision Media reserves the right to suspend work on any project where payments are overdue by more than 30 days.

6.4 Refunds

Deposits are non-refundable once work has commenced, except where AnyVision Media is unable to deliver the agreed-upon services. Refund requests for services rendered will be assessed on a case-by-case basis in accordance with the CPA.

7. Disclaimers & Warranties

7.1 Website "As Is"

The Website and its content are provided on an "as is" and "as available" basis. While we strive to keep the information on our Website accurate and up to date, we make no warranties or representations, express or implied, regarding:

• The accuracy, completeness, or reliability of any Website content
• Uninterrupted or error-free access to the Website
• The absence of viruses or other harmful components

7.3 Third-Party Links

Our Website may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites. Inclusion of any link does not imply endorsement.

8. Limitation of Liability

To the maximum extent permitted by South African law:

• AnyVision Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
• Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to AnyVision Media in the twelve (12) months preceding the claim
• We shall not be liable for any delay or failure to perform obligations due to circumstances beyond our reasonable control (force majeure), including natural disasters, pandemics, utility failures, or government actions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under South African law, including liability for fraud or wilful misconduct.

9. Indemnification

You agree to indemnify, defend, and hold harmless AnyVision Media, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Website in violation of these Terms
• Your breach of any representation or warranty made herein
• Your violation of any applicable law or regulation
• Any content or data you provide to us that infringes the rights of a third party

10. Termination

10.1 Website Access

We reserve the right to restrict or terminate your access to the Website at any time, without notice, for conduct that we believe violates these Terms or is harmful to our interests or those of other users.

10.2 Consulting Engagements

Either party may terminate a consulting engagement as specified in the applicable SOW. In the absence of specific termination provisions:

• Either party may terminate with 30 days' written notice
• Upon termination, the Client shall pay for all work completed up to the effective date of termination
• AnyVision Media shall deliver all completed work and Client data within 14 days of the termination date
• Either party may terminate immediately for material breach if the breach is not remedied within 14 days of written notice

10.3 Survival

Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive the termination of these Terms or any consulting engagement.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Gauteng, South Africa.

The parties agree to first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the parties may seek mediation before resorting to litigation.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last updated" date at the top of this page. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.

For active consulting engagements, changes to contractual terms require mutual written agreement from both parties.
